Supplemental Terms to the HeyDoWhat Terms of Service
SECTION 1 — THESE TERMS AND HOW YOU ACCEPT THEM
1.1 What These Terms Are. These Queue Terms (these "Queue Terms") are Supplemental Terms issued by HeyDoWhat, LLC ("HDW," "we," "us," or "our") under the Supplemental Terms provisions of the HDW Terms of Service (the "Terms of Service"). These Queue Terms govern your access to and use of HDW's virtual queue and waitlist feature (the "Queue Service"), which allows you to join a participating merchant's waitlist through the HDW platform (the "Platform") and receive updates while you wait. These Queue Terms incorporate the Terms of Service by reference. HDW's collection, use, disclosure, retention, and processing of information in connection with the Queue Service is described in the HDW Privacy Policy, which is a notice of HDW's data practices and is not incorporated into these Queue Terms as a contractual term. Capitalized terms used but not defined here have the meanings given in the Terms of Service.
1.2 Acceptance. You accept these Queue Terms by tapping or clicking "Join" or a substantially equivalent action when the applicable terms are made available before that action and the presentation clearly states that the action signifies acceptance. Each join action reaffirms the version validly applicable to that entry. An amended version applies only through the notice and acceptance process in Section 20 of the Terms of Service; a join action does not accept an amendment that was not properly presented or retroactively change an earlier entry. If you do not agree, do not join through the Platform; declining these Queue Terms does not affect your access to other Platform features. A Merchant's entry of a walk-in guest does not by itself supply that guest's assent to these Queue Terms or the Terms of Service.
1.3 Relationship to the Terms of Service. If there is a direct conflict between these Queue Terms and the Terms of Service with respect to the Queue Service, these Queue Terms control, solely for the Queue Service and only to the minimum extent necessary to resolve the conflict. In all other respects the Terms of Service govern, including its provisions on accounts, acceptable use, intellectual property, disclaimers, limitations of liability, and dispute resolution.
SECTION 2 — ELIGIBILITY AND JOINING A QUEUE
2.1 Account Requirements and Walk-Ins. To join a queue through your own Platform account, you must have an active HDW account, have accepted the Terms of Service, have acknowledged the Privacy Policy, and have a mobile phone number on file. Where HDW requires verification, you must complete it before joining. A Merchant may separately enter a walk-in guest through the supported Merchant workflow; that workflow does not require the guest to have an HDW account or supply a phone number. The Merchant is responsible for having authority to provide the walk-in information. The Privacy Policy describes that processing and how a person without an account may submit a privacy or Queue-record request. A walk-in record is not proof of the guest's contractual acceptance.
2.2 One Active Queue Entry. You may hold only one active queue entry at a time across the entire Platform. If you attempt to join a second queue while you have an active entry elsewhere, the Platform will offer to withdraw your existing entry and join the new queue in a single step. HDW may modify this concurrency rule in the future by updating these Queue Terms.
2.3 Accurate Information. When joining a queue you must provide accurate information, including your true party size. Merchants configure their queues by service type and party size; inaccurate party size information may result in your entry being removed or your party being unable to be served.
2.4 Queue Availability. Merchants ordinarily open, pause and close their queues and supply the capacity and availability information used for their operations. HDW does not guarantee that a Merchant's queue will be open, that remote joining will be available, or that capacity will remain available. A Merchant may pause new joins or close its queue, including while you are waiting, subject to its applicable obligations. HDW retains the Platform controls authorized by these Queue Terms and the Terms of Service, including lawful security, integrity and service restrictions. This Section does not excuse an express HDW duty or make a status record conclusive.
SECTION 3 — HOW THE QUEUE WORKS
3.1 Your Entry and Code. When you join a queue, you receive a position in a service-type-specific line and a short alphanumeric code (for example, "A07"). Your code identifies your entry at the merchant's host stand, including if the Platform or the merchant's connection is temporarily offline, in which case the merchant is expected to continue serving parties in code order.
3.2 Position. Your displayed position reflects the number of parties ahead of you in your line. Positions are computed by the Platform from the order in which parties joined and the service events recorded by the merchant. Parties who are physically present at the merchant's location ("walk-ins") may be added to the same line by the merchant and share the same order — walk-ins do not receive priority over remote joiners, and remote joiners do not receive priority over walk-ins.
3.3 Merchant Service Discretion. Merchants operate their own service. A merchant may, in limited circumstances recorded by the Platform, call a nearby party out of strict order (for example, where a party is not yet present or a service constraint applies). Separate lines for different service or table types move at different speeds; a party who joined another line after you may be served before you.
3.4 "I'm Here." From the time you are near the front of the line, you may use the "I'm here" feature to signal your arrival to the merchant. This feature is optional and informational only; it does not change your position, obligate the merchant to act, or alter the Grace Period described in Section 5.
SECTION 4 — WAIT TIMES ARE ESTIMATES, NOT GUARANTEES
4.1 Estimates Only. All wait times displayed through the Queue Service are ESTIMATES ONLY, generated automatically by the Platform from historical and real-time service data and merchant configuration inputs, and displayed as ranges. Actual wait times depend on conditions at the merchant's location — including staffing, party sizes, service pace, cancellations, no-shows, walk-in volume, and events entirely outside HDW's knowledge or control — and may be shorter or longer than any displayed estimate, without limitation.
4.2 No Guarantee; No Reliance. HDW DOES NOT REPRESENT, WARRANT, OR GUARANTEE ANY WAIT TIME, SERVICE TIME, POSITION ADVANCEMENT RATE, OR THAT YOU WILL BE SERVED AT ALL. Displayed estimates are not offers, promises, or commitments by HDW or by any merchant, and you should not make travel, scheduling, or other decisions in reliance on any estimate. Estimates may change at any time, may be displayed as "paused" or with widened ranges when conditions are uncertain, and may be unavailable during degraded or offline operation.
4.3 Merchant-Operated Service. HDW is a technology intermediary and does not operate a Merchant's business or seat its parties. A Merchant controls its actual service pace and seating decisions, subject to its applicable obligations. Merchant remains responsible for its independent service conduct, including failure to honor an applicable Queue obligation. That allocation does not excuse an express HDW duty, HDW's own otherwise actionable conduct, an available review or correction under Section 6.4, or a non-waivable right. Sections 4, 11, 15 and 16 of the applicable Terms of Service govern their respective roles, remedies, disclaimers and limitations; this Section creates no guarantee of Merchant performance.
SECTION 5 — YOUR TURN; GRACE PERIOD; NO-SHOWS
5.1 Turn Notification; Grace Period. When the merchant calls your entry, the Platform will notify you and display the time until which your spot is held (the "Grace Period"). The Grace Period is configured by each merchant within Platform bounds and is displayed to you in the app when you are called. If you do not present at the merchant's location and check in with the host before the displayed hold time, your entry may be automatically recorded as a no-show.
5.2 After a No-Show. If your entry is recorded as a no-show: (a) the merchant may, in its sole discretion and while the Platform permits the action, record that it seated your party or place the entry next in line if you arrive shortly afterward; and (b) you may rejoin the same merchant's queue through the app on the same service day, in which case you will receive a new entry at the back of the applicable line. A merchant courtesy under this Section is not an entitlement, and HDW does not represent that a merchant will provide it.
5.3 Cured No-Shows; Platform Record Controls. A recorded no-show is treated as "cured" only when the Platform records, on the same service day and at the same merchant location, that: (a) the merchant seated your party directly from the recorded no-show; (b) the merchant placed the recorded no-show next in line and the restored entry later ended with your party being seated; or (c) you rejoined through the app and the linked rejoined entry later ended with your party being seated. Placing an entry next in line or rejoining does not, by itself, cure a no-show. If the restored or rejoined entry is canceled, removed, closed, expires, or becomes another no-show before your party is seated, the first no-show remains uncured and any later no-show is evaluated separately. Service that a merchant does not record through the Platform does not automatically cure a no-show; you may request review under Section 6.4. A cured no-show does not count toward the thresholds in Section 6.
5.4 Cancellations Are Free but Do Not Retroactively Cure a No-Show. You may leave an active queue entry before being called, through the app or by an available SMS command, without a no-show penalty for that cancellation. Canceling a restored or rejoined entry does not create a new no-show for that entry, but it does not cure an earlier no-show. If you cannot honor your place in line, cancel rather than simply not showing up.
SECTION 6 — NO-SHOW LIMITS; QUEUE SUSPENSIONS
6.1 Why Limits Exist. Uncured no-shows hold tables and service capacity that merchants could have offered to other guests. To keep queues accurate and fair for everyone, accounts that accumulate repeated uncured no-shows within a rolling thirty-day window are temporarily suspended from joining queues.
6.2 Thresholds and Durations. Only uncured no-shows count. Two uncured no-shows within a rolling thirty-day window pause queue joining for twenty-four hours. Four uncured no-shows within a rolling thirty-day window pause queue joining for four days. If more than one suspension could apply, the later-ending suspension controls. HDW may prospectively change a threshold, measurement window, or duration by updating these Queue Terms; the version accepted for the queue entry that produces the threshold-triggering no-show governs that suspension.
6.3 Scope of Suspension. A queue suspension affects your ability to join queues only. It does not affect your account, your In-App Credits or Reward Points, your ability to purchase or redeem marketplace products, or any other Platform feature.
6.4 Review. If you believe an entry, no-show, cure status or Queue restriction is inaccurate, or a Merchant served your party without recording the outcome, contact HDW support with enough information to identify the entry. HDW will review available Platform records and information supplied by you and the Merchant and correct the entry, cure status or resulting restriction where appropriate. HDW's determination controls its internal administration, subject to further correction and the applicable dispute process. It does not conclusively determine legal rights or bind a court or arbitrator. Section 13, applicable privacy-rights procedures and non-waivable rights remain available. A request for review does not by itself suspend a properly applied Queue restriction.
SECTION 7 — NOTIFICATIONS
7.1 Queue Messages. When you join a queue, HDW sends a limited number of SMS lifecycle messages related to your entry (such as a join confirmation, an approaching notice, a turn notification, and, where applicable, a queue closure notice), consistent with the HDW SMS / Text Messaging Terms, which govern all HDW text messaging. Message and data rates may apply.
7.2 In-App Status Is Authoritative. SMS messages are a courtesy channel. The in-app queue status screen is the authoritative record of your entry, position, and hold time. SMS delivery depends on carriers, networks, and your device, and HDW does not guarantee the delivery or timeliness of any message. You are responsible for monitoring your in-app status, particularly after you have been called.
7.3 Replies and Opt-Out. You may reply "C" to cancel your queue spot, "HELP" for help, or "STOP" to end all text messages from the applicable HDW program. PLEASE NOTE: replying STOP opts you out of the entire messaging program — not just queue messages — and may prevent you from receiving other account-related texts, including verification codes, until you opt back in. Opting out of SMS does not remove you from a queue; use the app or reply "C" to leave a queue.
SECTION 8 — NO RESALE OR TRANSFER OF QUEUE POSITIONS
8.1 Positions Are Personal. Your queue entry and position are personal to you and the party you registered. They are not property, have no monetary value, and exist solely to coordinate your own genuine intent to be served by the merchant.
8.2 Prohibition. You may not sell, offer to sell, purchase, offer to purchase, barter, exchange, transfer, assign, license, or otherwise trade any queue entry, position, or code, or solicit or facilitate any of the foregoing, whether for money, credits, points, goods, services, or anything else of value, and whether directly, through any other person, or through any third-party service, marketplace, platform, or broker. Joining a queue with the intent to transfer or sell the resulting position, rather than to be served, is likewise prohibited.
8.3 Consequences. HDW may remove or cancel an entry, void a position, or restrict, suspend or terminate access in response to conduct prohibited by this Section, subject to the applicable grounds, scope, notice and protection rules in Sections 5.29 and 19 of the Terms of Service. Immediate action may be taken where those rules permit it. Such action does not authorize forfeiture of unrelated Booking or Wallet rights or eliminate a non-waivable right. Other lawful remedies remain available.
SECTION 9 — PLATFORM INTEGRITY; ANTI-ABUSE
9.1 Reservation of Rights. HDW may monitor Queue activity; investigate suspected fraud, manipulation or abuse; decline, remove or cancel an entry; and restrict or suspend Queue access when reasonably necessary to protect the service's integrity, fairness, safety or reliability. Grounds include automated or scripted joining, multiple-account abuse, phone-number abuse, coordinated Queue manipulation, fictitious entries, position gaming or other conduct that reasonably indicates misuse. These powers remain subject to the applicable Terms of Service, including its enforcement and account-termination rules, the review and correction process in Section 6.4, and applicable law. A Queue no-show suspension alone has only the scope stated in Section 6.3; a broader account action requires its own valid ground. Neither an internal suspicion nor an operational record conclusively establishes legal liability.
9.2 No Disclosure of Methods. HDW is not obligated to disclose its integrity-monitoring methods, signals, or thresholds, and no failure to act on any particular conduct waives HDW's right to act on the same or similar conduct at any time.
SECTION 10 — SAFETY; USE WHILE DRIVING
10.1 Never Use While Driving. Do not view, check, or interact with the Queue Service, or read or respond to queue notifications, while driving or operating any vehicle, machinery, or equipment, or in any circumstance where doing so is unsafe or unlawful.
10.2 Safe Responses and Hold Deadlines. Never take an unsafe or unlawful action to preserve a Queue position. The Platform maintains the entry without continuous interaction, and the applicable hold deadline is displayed as a clock time. The Grace Period allows time to respond safely but does not guarantee that travel or check-in can be completed in every circumstance. A hold deadline continues to apply while you are driving or otherwise unable to respond safely; do not treat a notification as an instruction to use a device or travel unsafely. If you cannot arrive and check in safely within the applicable period, the ordinary no-show, cancellation, rejoin and review rules apply. You remain responsible for your own unsafe or unlawful conduct. Any limitation of HDW liability is governed by the applicable Terms of Service and does not excuse HDW's own express duties or waive a non-waivable right.
SECTION 11 — LOCATION FEATURE
If you grant your device's location permission when joining a queue, the Platform may compare your approximate distance to the merchant against the current estimated wait solely to display a one-time advisory warning (for example, that your travel time may exceed the estimated wait). This computation occurs on your device at the time of joining; your coordinates are not transmitted to or stored by HDW and are not used for any other purpose, as further described in the Privacy Policy. Declining location permission does not affect your ability to join any queue.
SECTION 12 — CHANGES; DISCONTINUATION; DISCLAIMERS
12.1 Changes and Discontinuation. HDW may modify, suspend or discontinue the Queue Service in accordance with the Supplemental Terms and service-change provisions of the Terms of Service. Under these Queue Terms, Queue is a free Consumer feature; it is not a purchased Booking benefit. Mere modification, suspension, unavailability or discontinuation does not by itself create compensation, credit or a refund. Nothing in this Section negates an express HDW obligation, an applicable review or correction, a remedy otherwise provided by the governing terms, or a non-waivable right. A Queue event does not itself cancel or alter a separately purchased Booking or Wallet value. A change does not retroactively alter the terms governing an existing entry or accrued right. Any claim for damages remains subject to the applicable Terms of Service, including Section 16.
12.2 Service Provided "As Is." Without limiting the disclaimers in the Terms of Service, the Queue Service, all estimates, all positions, and all notifications are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including any warranty of accuracy, availability, timeliness, merchantability, or fitness for a particular purpose. HDW's aggregate liability in connection with the Queue Service is limited as set forth in the Terms of Service.
SECTION 13 — DISPUTES
Disputes arising from these Queue Terms or the Queue Service are governed by Sections 17 and 18 of the Terms of Service only in the version validly binding on the parties for that matter under the Terms of Service's formation, capacity and update rules. Those provisions supply the applicable New York governing law, arbitration and court procedures, standalone individual-proceeding waiver and related protections. A valid arbitration opt-out remains effective within its scope; accepting these Queue Terms does not by itself revoke it, restart its period or impose a different dispute agreement. These Queue Terms do not bind a person to arbitration merely because a Merchant created a walk-in record concerning that person. A Merchant's commercial dispute with HDW remains governed by the separately accepted Merchant agreement.
