1. Scope, Relationship to the Terms, and Precedence
These Promotion Terms (these "Promotion Terms") govern an HDW promotional offer that states it is subject to these Promotion Terms. They are the Promotion Terms referenced in Sections 5.19 and 5.23 of the HeyDoWhat Terms of Service (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms.
When HDW makes a promotion available for use, it will identify the applicable offer-specific terms and provide the acceptance or notice required by the Terms and applicable law. These Promotion Terms and the applicable offer-specific terms supplement the Terms; they govern only the promotion to which they apply. The Terms, including their Wallet, payment, cancellation, refund, dispute-resolution, and non-waivable-right provisions, continue to apply.
If these Promotion Terms and the Terms cannot reasonably be read together, the Terms control except to the limited extent that the Terms expressly permit offer-specific treatment. Neither these Promotion Terms nor an offer-specific term may convert a promotion into cash, payment tender, HDW In-App Credits (Bucket A), or Reward Points (Bucket B), alter the cause-specific restoration of tender actually used in a Booking, or diminish a non-waivable right.
2. Definitions
For these Promotion Terms:
- Completed Booking means a completed purchase record for a Product. A pending, declined, failed, expired, or voided checkout is not a Completed Booking.
- Offer-Specific Terms means the terms HDW displays for a particular promotion, such as the stated discount, qualifying Product or Booking, original offer expiration, eligibility, use limits, code, and any stated restrictions.
- Price-Reduction Coupon means a dollar-off, percentage-off, or comparable non-cash promotional discount that reduces a disclosed payable total. It does not include a Reward Point multiplier promotion.
- Promotion means an HDW promotional offer governed by these Promotion Terms and applicable Offer-Specific Terms.
3. Offer-Specific Terms, Eligibility, and Use Conditions
Each Promotion is available only as stated in its Offer-Specific Terms. Those terms may identify the applicable discount, qualifying Products or Bookings, original expiration, eligible Users, account, location, use limit, stated combination rule, and other lawful conditions disclosed with the offer. A Promotion is not available where its Offer-Specific Terms do not apply.
Unless the Offer-Specific Terms expressly state otherwise, a Promotion is personal to the eligible User and may not be sold, transferred, exchanged, bartered, or applied through another User's account. A User may not use a Promotion through duplicate, guest, associated, or misleading accounts to evade an eligibility or use limit.
An Offer-Specific Term may state whether a Promotion can be combined with another Promotion. It may not create cash, Wallet, or tender value, promise a general replacement or courtesy coupon, or override the cause-specific reactivation rule in Section 5.
4. Price, Tax, Wallet, and Reward Point Boundaries
A Price-Reduction Coupon is a non-cash, non-transferable promotional offer. It is not consumer-paid value, payment tender, Bucket A, or Bucket B. It reduces the disclosed payable total subject to applicable tax treatment. Under the Terms, available Bucket B, then Bucket A, then an external payment method apply only to the remaining payable balance shown and accepted at checkout.
A Price-Reduction Coupon does not create an amount that HDW must return, refund, credit, convert, or restore. Restoration or return of value actually used in a Booking is governed solely by the cause-specific rules in the Terms, the applicable Refund and Cancellation Policy, the booking disclosure, and applicable law.
A Reward Point multiplier promotion is not a Price-Reduction Coupon, price discount, or Wallet tender. It records the applicable multiplier for the qualifying Booking under Terms Section 5.30 and the Reward Points and Integrity Award Program Terms. Any resulting Reward Points, including a promotional bonus, are ordinary Bucket B awards subject to the Terms' Pending, Available, expiration, reversal, and adjustment-deficit rules. The multiplier promotion itself is not reissued if those points later reverse. A promotion does not make an integrity report award-eligible; only an active authenticated Report Surface displaying the applicable terms can do so.
5. Coupon Consumption and Cause-Specific Reactivation
5.1 Consumption
A Price-Reduction Coupon is consumed only when its application results in a Completed Booking. A pending, declined, failed, expired, or voided checkout does not consume the coupon. In that event, the coupon remains usable only under its original Offer-Specific Terms and original expiration.
5.2 No Automatic Reactivation After Ordinary Events
After a Completed Booking, a Price-Reduction Coupon is not automatically reinstated, reissued, extended, or converted into cash or Wallet value because of a consumer cancellation, booking error, no-show, late arrival, early departure, ordinary refund, ordinary chargeback, or Product expiry.
5.3 Limited Reactivation After HDW or Merchant Failure
When HDW determines that a Completed Booking is affected by an HDW payment or Platform error, a Merchant cancellation, or verified Merchant non-performance, HDW will reactivate the original Price-Reduction Coupon once if, and only if, all of the following are true:
- the original offer has not expired;
- the consumer still meets the original eligibility and use conditions;
- the coupon has not been transferred or used for a Completed Booking or then-active Booking other than the affected Completed Booking; and
- reactivation is not prohibited by applicable law or necessary fraud, abuse, or error controls.
A refund, chargeback, or other reversal resulting from a verified HDW or Merchant failure follows that verified cause. All other ordinary refunds or chargebacks follow Section 5.2.
Reactivation does not extend or restart an offer period, recreate a lapsed eligibility condition, create cash or Wallet value, add a separate monetary remedy, or permit duplicate use. If the original offer has expired or the consumer no longer qualifies, the coupon does not reactivate. The coupon's reactivation does not change the refund, cancellation, Wallet, or payment remedy otherwise applicable to the Booking.
6. Fraud, Abuse, Error, and Lawful Controls
HDW may withhold, cancel, or reverse a Promotion connected with error, fraud, abuse, a violation of these Promotion Terms or the Terms, or a manifest offer error, subject to applicable law. HDW may apply the proportionate account and fraud controls allowed by the Terms.
These controls do not authorize a cash debt, later payment-method charge, collection activity, set-off, seizure of Bucket A, cross-account recovery, or forfeiture of a remedy otherwise due under the Terms or applicable law.
7. Changes, Suspension, and Consumer Rights
HDW may modify, suspend or discontinue future Promotion opportunities and correct a manifest offer error before a Completed Booking. A change does not extend an original offer period, revive an expired coupon, create a general replacement promise or retroactively remove the Section 5.3 cause-specific reactivation rule governing a Completed Booking made before that change took effect, whether the stated HDW or Merchant failure occurs before or after the change. The original offer's expiration, eligibility, use limits and Section 5.3 conditions continue to apply.
Nothing in these Promotion Terms limits a consumer right that applicable law or a payment-method agreement makes non-waivable. The Terms govern disputes, arbitration, governing law, venue, and the individual-proceeding waiver for a Promotion.
